Terms of Service
1. Agreement
These Terms of Service ("Terms") govern access to and use of the Outlex platform, website, software, AI-enabled features, workspaces, lawyer handoff, subscriptions, credits and related services (together, the "Services") provided by Outlex AI, Lda., with VAT 518861660 ("Outlex", "we", "us" or "our").
By creating an account, purchasing a subscription, using the Services, or otherwise indicating acceptance, the customer entity identified in the account or the invoice ("Customer", "you" or "your") agrees to these Terms.
The Services are offered for business and professional use only. By using the Services, you confirm that you have authority to bind that entity.

What you get with Outlex
AI Legal Agent
Ask legal questions, draft or review documents, summarize information, run document analysis, prepare tasks and manage legal workflows from your Outlex workspace. Lexi uses AI models, workspace data, legal sources, playbooks, templates and best practices to generate AI Outputs. AI Outputs are designed to support legal, compliance and business workflows. They are not, by themselves, legal advice, legal opinions or a substitute for professional judgment.
Human review when it matters
You may request Human Legal Support directly in Outlex through your plan's Lawyer Credits. Human Legal Support may be provided by Professionals, depending on the jurisdiction, matter type, scope, complexity, risk level and applicable law.
One workspace, one history
Documents, chats, comments, decisions, tasks and lawyer handoffs can stay in your Outlex workspace, with workspace history and audit trails where available.
Where responsibility sits
Your role
Final business and legal decisions remain yours. You must provide accurate information, review outputs before relying on them, confirm the relevant jurisdiction and decide whether Human Legal Support is required.
4. Plans, Fees and Payment
Fees are as set out in the pricing page, checkout flow, payment link, invoice, order form or written confirmation. Fees are billed monthly or annually, depending on the plan you choose, in EUR unless stated otherwise. Taxes, VAT and similar charges are additional unless stated otherwise.
Payments are processed through Stripe or another payment processor designated by Outlex. You authorize Outlex and its payment processor to charge the payment method provided for subscription fees, renewals, taxes, usage charges, overages, approved add-ons, Lawyer Credits and other amounts due.
Outlex does not store full card details. Payment processing may be subject to Stripe's terms, privacy notices and payment method rules. Unless stated otherwise, Outlex is the seller of the Services and Stripe acts as the payment processor.
Usage, overages and add-ons may be billed monthly, at renewal or as otherwise stated at checkout, in your plan or in writing.
If payment fails, is disputed, reversed or remains overdue, we may retry payment, suspend access, limit features, withhold delivery, suspend Lawyer Credits and terminate the Services after reasonable notice.
5. Subscriptions, Renewal and Cancellation
Subscriptions renew automatically unless cancelled in accordance with these Terms or agreed in writing.
Monthly subscriptions renew monthly on the billing date. You may cancel a monthly subscription at any time before the next renewal. Cancellation takes effect at the end of the then-current monthly billing period.
Annual subscriptions renew annually on the renewal date. You must cancel an annual subscription at least 30 days before the renewal date to avoid renewal for a further annual term, unless a different notice period is stated in written terms.
You may cancel through account settings, written notice to Outlex, or any other cancellation method made available by Outlex. Cancellation does not relieve you from paying fees already due or incurred.
6. Price Changes and Founding Member Pricing
We may change plan prices, feature allocations, usage limits, add-on fees, Lawyer Credit pricing, overage rates and other commercial terms from time to time.
Price changes do not affect fees already paid for the then-current subscription term. For monthly subscriptions, price changes apply no earlier than the next renewal after at least 15 days' prior notice. For annual subscriptions, price changes apply only at the next annual renewal after at least 30 days' prior notice. If you do not agree to a price change, you may cancel before the change takes effect.
We may offer promotional, early customer, beta, pilot or Founding Member pricing. Unless expressly agreed otherwise in writing, Founding Member pricing is limited to eligible early customers selected by Outlex, may be limited to the first 20 customers or another number determined by Outlex, applies only for the initial subscription term or the first 12 months, whichever is shorter, does not create any right to permanent discounted pricing, and may convert to the then-current Core, Growth or other applicable plan at renewal.
7. Refunds
Except as required by law or expressly stated in these Terms or agreed in writing, all fees are non-refundable. Subscription fees are not refunded for partial use, unused features, unused AI usage, unused seats, unused Lawyer Credits, cancellation before the end of the billing period or your decision not to use the Services.
We will refund amounts charged in error, duplicate payments or amounts that must be refunded under applicable law or these Terms. We may issue discretionary refunds, credits or goodwill adjustments, but doing so does not create a right to future refunds.
8. Lawyer Credits
A Lawyer Credit allows you to request Human Legal Support through Outlex. Unless stated otherwise in your plan, one Lawyer Credit generally covers one discrete matter, document, question or workflow, including reasonable follow-up questions that remain directly related to the same matter, document, issue and factual context.
Outlex may determine, in its discretion and acting reasonably, whether a request falls within one Lawyer Credit or requires two or more Lawyer Credits, taking into account factors such as scope, complexity, length of the document, urgency, jurisdiction, risk level, number of documents, requested deliverables, and whether the request expands into a new matter or requires materially additional legal review.
Where Outlex determines that a request requires more than one Lawyer Credit, Outlex may submit the proposed credit allocation to the customer for approval before Human Legal Support is provided. The customer must approve the use of the additional Lawyer Credits for the request to proceed. If the customer does not approve the proposed allocation within the timeframe indicated by Outlex, or if no timeframe is indicated within a reasonable period, the request may be cancelled and no Human Legal Support will be provided for that request.
Outlex may also determine, in its discretion and acting reasonably, whether a request should be treated as one request or as multiple separate requests for the purposes of Lawyer Credit usage.
Lawyer Credits are not hourly billing. They are a usage mechanism and are not cash, stored value, electronic money, securities, vouchers or payment instruments. They are not transferable, refundable or redeemable for cash, except where required by law or expressly stated in these Terms.
Unless expressly stated otherwise in the applicable plan, Lawyer Credits are allocated for use only during the relevant billing period or subscription period to which they relate. Unused Lawyer Credits do not roll over from one billing period to another, including from month to month, and do not accumulate. For example, if a plan includes 15 Lawyer Credits per month and the customer does not use all 15 Lawyer Credits in a given month, the customer will receive 15 Lawyer Credits for the following month, not the unused Lawyer Credits plus 15 additional Lawyer Credits.
Lawyer Credits also do not roll over between subscriptions, plans, renewals, upgrades, downgrades, cancellations, terminations or expiries, unless expressly stated otherwise by Outlex in writing. Any unused Lawyer Credits expire at the end of the applicable billing period or subscription period for which they were allocated.
Outlex may update the scope, usage rules, expiry rules and allocation of Lawyer Credits from time to time. Changes will not materially reduce Lawyer Credits already purchased for the then-current billing period or subscription period unless required by law, security, abuse prevention or operational necessity.
9. Response Targets
Outlex aims to assign a Professional within one business day after you submit a valid request and provide the required information.
Outlex aims for the Professional to provide a first substantive response within 24 to 48 business hours after assignment and receipt of the required information. Complex, urgent, regulated, multi-jurisdictional or high-volume matters may require a longer timeline.
These timelines are service targets, not guaranteed delivery deadlines, unless expressly stated in writing.
If a Lawyer Credit is consumed and no Professional is assigned within 1 business day, or no first substantive response is provided within 3 business days after assignment and receipt of all required information, you may request restoration of the relevant Lawyer Credit.
Credit restoration is not available where the delay is caused by missing information, unclear instructions, your unavailability, conflicts checks, matter complexity, requested changes, force majeure, third-party systems or circumstances outside Outlex's reasonable control.
For this Section, "business hours" means 9:00 to 18:00 on business days in Portugal, excluding weekends and public holidays in Portugal, unless otherwise stated in your plan or agreed in writing.
10. Customer Responsibilities
You are responsible for:
Do not submit special category data, criminal offence data, highly confidential documents or regulated information unless necessary, lawful and appropriate for the relevant use case and plan.
You must not use the Services to obtain or perform Reserved Legal Services unless the matter has been expressly accepted by an appropriately authorised Professional.

We may suspend or restrict access if we reasonably believe you have breached this Section.
12. Intellectual Property, Customer Data and Feedback
13. AI Outputs, AI Act and AI Acceptable Use
AI systems are probabilistic and may produce errors, incomplete information or ambiguous outputs. Outputs are provided "as is" and must be reviewed before reliance. The Services do not replace independent legal judgment.
Outlex maintains reasonable AI governance measures appropriate to the Services, which include AI disclaimers, human escalation pathways, source or context grounding, logging, quality checks and risk controls.
Customer is responsible for its own use-case assessment, sector-specific obligations, user training, AI literacy, internal policies, human oversight and end-use compliance.
Customer must not use the Services, AI Outputs or Human Legal Support for prohibited AI practices, high-risk AI use cases or regulated decision-making unless expressly agreed in writing with Outlex and supported by appropriate contractual, technical and compliance measures.
The Outlex AI Acceptable Use Policy, available at outlex.ai/ai-acceptable-use-policy or another URL notified by Outlex, forms part of these Terms.
14. Confidentiality
Each party will protect the other's Confidential Information using at least reasonable care and use it only to perform under these Terms, receive the Services, comply with law or enforce rights. Customer Data is Confidential Information. Confidentiality obligations do not restrict disclosures required by law, with prompt notice where lawful.
15. Data Protection and Security
Our Data Processing Addendum (DPA) governs the processing of Customer Personal Data. Customer remains the controller and Outlex acts as processor unless otherwise stated in the DPA or required by law.
The DPA at https://outlex.ai/dpa or another URL notified by Outlex is incorporated into these Terms.
Outlex may use subprocessors to provide hosting, infrastructure, AI model access, analytics, support, payment processing, communication and related services. Subprocessor details will be provided in the DPA or related documentation.
Outlex will maintain reasonable technical and organizational measures designed to protect Customer Data against unauthorized access, loss, misuse and alteration. No online service is completely secure. You are responsible for managing users, permissions, devices, access policies and exports.
16. Service Level, Support and Beta Features
We target reasonable platform availability and will provide support according to your subscription plan. Support response times and escalation procedures may be detailed in your plan or written terms.
Scheduled maintenance, emergency maintenance, third-party outages, force majeure events, beta features, customer systems, integrations and misuse are excluded from availability commitments.
Beta, pilot, experimental or early access features are provided for evaluation, may be incomplete, unstable, changed or discontinued at any time, and are provided "as is" to the maximum extent permitted by law.
17. Warranty Disclaimer
The Services are provided with reasonable skill and care.
Except as expressly stated in these Terms, the Services, Lexi, AI Outputs, beta features and third-party services are provided "as is" and "as available". To the maximum extent permitted by law, Outlex disclaims all warranties, conditions and representations, whether express, implied, statutory or otherwise, including warranties of accuracy, completeness, merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.
18. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, data, business interruption or cost of substitute services.
Outlex's total aggregate liability under these Terms will not exceed the amount paid by you to Outlex in the 12 months preceding the claim.
Outlex is not liable for your reliance on AI Outputs without appropriate review, your final business decisions, your failure to provide complete or accurate information, or advice provided by independent Professionals, except to the extent required by law or expressly assumed by Outlex in writing.
19. Indemnification
You will indemnify, defend and hold harmless Outlex from claims, damages, losses and expenses, including reasonable attorneys' fees, arising from your Customer Data, breach of these Terms, unlawful use of the Services, misuse of AI Outputs or Professional responses, breach of third-party rights, or use of the Services to provide services or advice to third parties.
20. Term, Suspension and Termination
These Terms continue until terminated. You may terminate for convenience by cancelling your subscription in accordance with Section 5.
Either party may terminate for material breach with 30 days' written notice if the breach is not cured. We may suspend or restrict access if you fail to pay, breach these Terms, use the Services outside the permitted scope, create security, legal, regulatory, operational or reputational risk, or if suspension is required by law or a third-party provider.
Upon termination, you may export Customer Data for 30 days where technically available and legally permitted. After that period, we may delete or retain data in accordance with our retention policies, DPA and legal obligations.
Sections relating to fees, intellectual property, confidentiality, data protection, disclaimers, limitation of liability, indemnification, termination effects, governing law and dispute resolution survive termination.
