1. Agreement
These Terms govern access to and use of Outlex's Services by the entity you represent ("Customer"). By executing an Order Form or using the Services, you accept these Terms and represent that you are acting in the course of business (B2B).

What you get with Outlex
AI legal co-pilot (24/7)
Ask questions, draft or review documents, and get instant, cited guidance. For higher-risk issues, we automatically escalate to a human lawyer.
Human review when it matters
You can book time with a lawyer directly in Outlex. That lawyer may be an Outlex in-house lawyer or a vetted partner lawyer in our network.
One workspace, one history
Documents, comments, and decisions stay in your Outlex workspace with audit trails.
Where responsibility sits
Your role
Final business decisions remain yours. Provide accurate information and timely instructions so we (or your lawyer) can advise effectively.
3. Orders, plans, and fees
Fees are as set out in the Order Form/plan; billed monthly/annually in EUR unless stated otherwise; taxes are additional.
Usage/overages (e.g., tokens, storage, seats) are billed monthly at then-current rates.
Invoicing & late payment: Invoices are due 30 days net unless stated otherwise. Late amounts may accrue the lesser of 1.5% per month or the maximum permitted by law. We may suspend the Service for amounts overdue by 15 days after notice.
Price changes take effect on renewal with a 30 days' prior notice.
4. Customer responsibilities
Provide accurate account/billing info; maintain admin and security contacts.
Keep credentials secure; configure SSO/MFA where available; assign roles and internal access policies.
Ensure your inputs, uploads, and use of the Service comply with law, third-party rights, and your internal policies.
Do not submit special category data unless necessary and lawfully justified.

6. Intellectual property & feedback
Service IP: Outlex owns the Service, software, models, UI, and documentation.
Customer Data & Outputs: Customer owns Customer Data and—subject to applicable law and third-party rights—Outputs generated for Customer. You are responsible for validating Outputs before use.
Model/LLM providers: Some features rely on third-party model providers. Their terms may apply to your use of specific features.
Feedback: You grant Outlex a worldwide, royalty-free, perpetual license to use feedback to improve the Service.
7. AI outputs & disclaimers
AI systems are probabilistic and may produce errors or incomplete/ambiguous information. Outputs are provided "as is" and must be reviewed by qualified professionals before reliance. The Service does not replace independent legal judgement. See Liability in Section 15.
8. Confidentiality
Each party will protect the other's Confidential Information using at least reasonable care and use it only to perform under these Terms. Customer Data is Confidential Information. Confidentiality obligations do not restrict disclosures required by law (with prompt notice where lawful).
9. Data protection
Our Data Processing Addendum (DPA) governs the processing of Customer Personal Data. Customer remains the data controller; Outlex acts as processor.
DPA: The DPA at outlex.ai/legal/dpa is incorporated and governs processing of personal data.
10. Compliance & AI Act readiness
We operate the Service to support compliance with applicable EU laws and will map features to the EU AI Act obligations as they phase in (2025–2027). Customer is responsible for use-case classification, domain obligations, and end-use compliance (including any sectoral rules and professional conduct rules).
12. Service Level Agreement (SLA)
We target 99.5% uptime for the platform (excluding scheduled maintenance). Support response times and escalation procedures are detailed in your subscription plan.
12. Warranty disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Indemnification
You will indemnify, defend, and hold harmless Outlex from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service in violation of these Terms.
17. Term, suspension & termination
These Terms commence on the Effective Date and continue until terminated. Either party may terminate: (a) for convenience with 30 days' written notice at the end of a subscription period; (b) for material breach with 30 days' notice if the breach is not cured.
Upon termination, you may export your Customer Data for 30 days. After that period, we will delete your data in accordance with our retention policies.
21. General provisions
Governing Law: These Terms are governed by the laws of Portugal, without regard to conflict of laws principles.
Disputes: Any disputes will be resolved exclusively in the courts of Lisbon, Portugal.
Amendments: We may update these Terms with 30 days' notice. Continued use after the notice period constitutes acceptance.
Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
Entire Agreement: These Terms, together with any Order Forms and the DPA, constitute the entire agreement between the parties.
